Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the ExtBC website, software extensions, applications, documentation, licenses, subscriptions, support and other products and services made available through ExtBC.com ("Website") by ExtBC, a business established in the Slovak Republic ("ExtBC", "we", "us" or "our").
By accessing the Website, downloading or using a demo version, purchasing a license, or using any ExtBC software or related service, you agree to these Terms.
If you do not agree with these Terms, you must not purchase, download, install or use the Software.
1. Definitions
For purposes of these Terms:
"Software" means any Microsoft Dynamics 365 Business Central extension, application, add-on, module, component, code, documentation, installer, license key, activation mechanism, update or related digital product made available by ExtBC.
"Extension" means a Software product designed to extend or interact with Microsoft Dynamics 365 Business Central.
"Demo" or "Trial Version" means a version of Software made available for evaluation before purchase.
"License" means the limited right granted to a customer to use the Software in accordance with these Terms and the applicable product or license description.
"Customer", "you" or "your" means the person or legal entity purchasing, accessing or using the Software.
"Business Customer" means a Customer acting for purposes relating to its trade, business, craft or profession.
"Consumer" means a natural person acting for purposes outside that person's trade, business, craft or profession, where applicable under mandatory law.
2. Eligibility and Business Use
The Software is primarily intended for businesses, organizations, developers, consultants and other professional users of Microsoft Dynamics 365 Business Central.
If you purchase Software on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for providing accurate billing and contact information.
You must not use the Software for any unlawful purpose or in violation of applicable law.
3. Microsoft Dynamics 365 Business Central
ExtBC Software is designed to operate with Microsoft Dynamics 365 Business Central and may depend on functionality, APIs, infrastructure, licensing or other services provided by Microsoft.
ExtBC is an independent software provider and is not Microsoft Corporation, Microsoft Ireland Operations Limited, or another Microsoft entity unless expressly stated otherwise.
Microsoft Dynamics 365 Business Central and Microsoft are trademarks of Microsoft Corporation or its affiliates.
ExtBC does not control Microsoft's products, services, APIs, licensing policies, pricing, availability, updates or future development.
Changes made by Microsoft to Business Central, its APIs, platform, licensing model or related services may affect the functionality or compatibility of an Extension.
4. Demo and Evaluation
Where available, ExtBC may provide a Demo or Trial Version of Software before purchase.
The purpose of the Demo is to allow a prospective Customer to evaluate the Software's functionality, compatibility and suitability for its intended environment.
Customers are strongly encouraged to test the Demo before purchasing a License.
Before purchasing, you should evaluate, as applicable:
- functionality;
- compatibility with your Business Central version;
- compatibility with your existing extensions and customizations;
- technical requirements;
- integration requirements;
- performance;
- suitability for your business processes; and
- any limitations described in the product documentation.
The Demo may contain limitations that do not apply to the licensed version.
Availability of a Demo does not guarantee that every feature of the licensed version will remain unchanged in future versions.
5. Orders and Purchases
A Customer may purchase a License through the Website or through another sales channel authorized by ExtBC.
Before completing an order, the Customer is responsible for reviewing:
- the product description;
- applicable License type;
- price;
- billing period, where applicable;
- technical requirements;
- supported Business Central versions;
- available Demo or Trial Version; and
- any product-specific terms.
An order becomes binding when payment has been successfully processed and ExtBC has accepted the order.
ExtBC reserves the right to refuse or cancel an order where there is a reasonable basis to do so, including suspected fraud, unauthorized payment, incorrect pricing, technical incompatibility or violation of these Terms.
If an order is cancelled by ExtBC before delivery and the Customer has already paid, ExtBC will refund the amount paid for the cancelled order unless otherwise permitted or required by law.
6. Prices and Taxes
Prices displayed on the Website are stated in the applicable currency and may be subject to VAT, sales tax or other applicable taxes.
The final amount payable will be shown before the Customer completes the purchase.
Business Customers are responsible for providing accurate company and VAT information where applicable.
Where a valid VAT identification number or other tax information is required for the applicable tax treatment, the Customer is responsible for providing accurate information.
ExtBC may change prices for future purchases or subscription periods.
A price change does not retroactively modify the price of an already completed purchase unless otherwise required by law or expressly agreed.
7. Payment
Payments may be processed by third-party payment providers, including Stripe.
ExtBC does not store complete payment-card numbers or other sensitive payment-card credentials on its own systems where payment processing is handled by the applicable payment provider.
The Customer must provide accurate payment information and must have the right to use the selected payment method.
If a payment is reversed, declined, disputed or otherwise invalidated after a License has been issued, ExtBC may suspend or deactivate the affected License until the payment issue has been resolved, subject to applicable law.
8. License Grant
Subject to payment of all applicable fees and continued compliance with these Terms, ExtBC grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable License to use the applicable Software solely for the purposes and within the scope specified by the purchased License.
Unless a product-specific License states otherwise, the License does not transfer ownership of the Software or its underlying intellectual property to the Customer.
The Software is licensed, not sold.
The applicable License may be limited by:
- number of companies;
- number of Business Central environments;
- number of users;
- number of installations;
- subscription period;
- Business Central version;
- functionality; or
- other limitations stated on the product page or order.
The Customer must comply with the applicable License limitations.
9. License Restrictions
Unless expressly permitted by ExtBC or applicable mandatory law, the Customer must not:
- resell, sublicense, rent, lease or distribute the Software;
- provide the Software to third parties for independent use;
- copy or reproduce the Software except as permitted for normal installation, backup or operation;
- remove copyright, trademark or proprietary notices;
- modify, adapt or create derivative works from the Software;
- reverse engineer, decompile or disassemble the Software;
- attempt to obtain source code or other underlying proprietary information;
- bypass, disable or circumvent license or technical protection mechanisms;
- use one License for environments, companies, users or installations beyond the purchased scope;
- make the Software available as a hosted or managed service for third parties unless expressly authorized;
- use the Software to develop a competing product based substantially on the Software's proprietary implementation; or
- use the Software in violation of applicable law.
Nothing in these Terms is intended to restrict rights that cannot legally be restricted under applicable law.
10. Source Code
Unless expressly stated otherwise for a particular product, ExtBC Software is provided in compiled or otherwise protected form.
Purchase of a License does not grant the Customer ownership of or access to the Software's source code.
Where source code is expressly included in a product or separately licensed, the applicable source-code license terms will apply.
11. Updates and New Versions
ExtBC may release bug fixes, security updates, compatibility updates, improvements and new versions of Software.
Unless expressly stated otherwise, a License does not automatically include every future major version of the Software.
Where updates are included in a subscription or product package, the applicable product description will determine the scope and duration of those updates.
ExtBC may discontinue support for older Business Central versions where continued support is no longer commercially or technically reasonable.
12. Support
Where support is included with a License or subscription, ExtBC will provide support through the support channels specified for the applicable product.
Support may include:
- installation assistance;
- configuration guidance;
- troubleshooting;
- bug investigation;
- documentation;
- compatibility information; and
- reasonable technical assistance.
Unless expressly agreed otherwise, support does not include:
- development of custom functionality;
- modification of the Customer's Business Central environment;
- correction of third-party extensions;
- correction of Customer-created customizations;
- Business Central administration;
- infrastructure administration;
- Microsoft support services; or
- implementation or consulting services.
Custom development or consulting may be provided separately under a separate agreement.
13. Compatibility
The Customer is responsible for verifying that the Software is compatible with its intended environment.
Compatibility information provided by ExtBC is based on the versions and technical information available when the relevant product is released or updated.
Compatibility may be affected by:
- Microsoft Business Central updates;
- third-party extensions;
- customizations;
- APIs;
- configuration;
- infrastructure;
- operating systems;
- databases;
- external services; or
- other software outside ExtBC's control.
The availability of a Demo is intended to help Customers evaluate compatibility before purchase.
14. Refunds and Cancellation
14.1 Business Customers
For Business Customers, Software License purchases are final and non-refundable, except where a refund is required by applicable law or expressly approved by ExtBC in writing.
In particular, a Business Customer is not entitled to a refund merely because:
- the Customer subsequently decides not to use the Software;
- the Customer changes its business requirements;
- the Customer did not test the available Demo;
- the Software does not satisfy requirements that were not expressly agreed with ExtBC;
- the Customer purchased an unsuitable License after failing to review the License conditions;
- the Customer's Business Central environment is incompatible with the published requirements;
- the Customer's environment contains third-party software or customizations causing compatibility problems; or
- the Customer experiences problems caused by Microsoft, third-party services or infrastructure outside ExtBC's reasonable control.
The availability of a Demo before purchase is intended to provide Business Customers with an opportunity to evaluate the Software before making a purchase decision.
14.2 Consumers
Nothing in these Terms excludes or restricts mandatory consumer rights under applicable European Union or Slovak law.
Where a Customer qualifies as a Consumer, applicable statutory rights relating to digital content, digital services, conformity and withdrawal remain unaffected.
For digital content supplied electronically, the statutory right of withdrawal may cease once performance has begun where the legal requirements for that exception have been satisfied, including the Consumer's prior express consent to begin performance and acknowledgement that the right of withdrawal is thereby lost.
Where required, ExtBC will obtain the appropriate consent and acknowledgement separately during checkout and provide the required confirmation.
14.3 Defective or Non-Conforming Software
Nothing in these Terms excludes mandatory statutory remedies where Software supplied to a Consumer does not conform to the contract.
Where legally required, ExtBC may be required to repair, replace, correct, reduce the price or refund the relevant amount depending on the circumstances and applicable law.
Customers should report suspected defects or material non-conformity to ExtBC as soon as reasonably possible.
Where appropriate, ExtBC may first attempt to resolve the issue through a correction, update, workaround or replacement.
15. Digital Delivery
Software may be delivered electronically through:
- download;
- customer account;
- license key;
- activation code;
- email;
- Business Central marketplace;
- AppSource; or
- another electronic delivery mechanism.
The Customer is responsible for ensuring that the supplied email address and other contact information are accurate.
Delivery may occur shortly after successful payment.
For Consumer purchases, where applicable law requires express consent and acknowledgement before immediate digital delivery, ExtBC will obtain such consent before making the Software available.
16. Subscriptions and Renewals
Some Software may be offered as a subscription.
Subscription terms, including price, billing period, renewal period and cancellation procedure, will be displayed before purchase.
Unless otherwise stated, a subscription automatically renews for the applicable renewal period until cancelled.
Cancellation prevents future renewal but does not automatically create a right to a refund for the current billing period, subject to mandatory consumer rights.
ExtBC may change subscription pricing for future renewal periods by providing appropriate notice where required by law.
17. License Suspension and Termination
ExtBC may suspend or terminate a License where the Customer materially breaches these Terms, including:
- unauthorized redistribution;
- license abuse;
- non-payment;
- unauthorized copying;
- circumvention of licensing mechanisms;
- infringement of intellectual property rights; or
- unlawful use.
Where reasonably possible, ExtBC will provide notice and an opportunity to remedy the breach before termination, except where immediate suspension or termination is reasonably necessary to prevent fraud, security risks, infringement or other serious harm.
Upon termination for a material breach, the Customer must cease using the affected Software and, where applicable, remove or deactivate it from its environment.
Termination does not automatically eliminate obligations or rights that accrued before termination.
18. Intellectual Property
The Software, Website, documentation, source materials, design, text, graphics, trademarks and other materials provided by ExtBC are protected by applicable intellectual-property laws.
Except for the limited License expressly granted under these Terms, ExtBC and its licensors retain all rights, title and interest in the Software and related materials.
Nothing in these Terms transfers ownership of ExtBC intellectual property to the Customer.
19. Customer Feedback
If the Customer voluntarily provides suggestions, recommendations, bug reports or other feedback concerning the Software, ExtBC may use that feedback to improve its products and services without owing compensation to the Customer.
This does not grant ExtBC ownership of the Customer's confidential information or proprietary materials.
20. Third-Party Services
The Software may interact with or depend upon third-party products, APIs, platforms or services.
Such third-party services may include Microsoft Dynamics 365 Business Central, Microsoft Azure, payment providers, tax services, financial-data providers, communication services and other external systems.
Third-party services are subject to their own terms and policies.
ExtBC is not responsible for changes, outages, restrictions, pricing, availability or discontinuation of third-party services outside ExtBC's reasonable control.
21. Website and Software Availability
ExtBC aims to keep its Website and Software services reasonably available but does not guarantee uninterrupted or error-free operation.
Availability may be affected by:
- maintenance;
- software defects;
- infrastructure failures;
- cybersecurity incidents;
- Internet failures;
- third-party services;
- Microsoft platform changes;
- telecommunications failures; or
- events outside ExtBC's reasonable control.
ExtBC may temporarily suspend Website or service availability where reasonably necessary for maintenance, security or operational reasons.
22. Software Defects and Security
ExtBC will use reasonable efforts to correct reproducible defects in supported versions of its Software.
No software can be guaranteed to be completely free of defects or security vulnerabilities.
Customers are responsible for maintaining appropriate backups and security procedures for their Business Central environments and business data.
Before installing or updating an Extension in a production environment, Customers should follow appropriate testing, backup and change-management procedures.
23. Data and Privacy
ExtBC may process personal data in connection with Website operation, account management, licensing, payments, support and other services.
Processing of personal data is governed by the applicable Privacy Policy.
Customers remain responsible for the personal data and business data processed within their own Business Central environments.
ExtBC does not obtain ownership of Customer business data merely because an Extension interacts with that data.
24. Warranties
To the maximum extent permitted by applicable law, Software is provided according to its published description and applicable License terms.
ExtBC does not warrant that:
- the Software will operate without interruption;
- the Software will be completely free of defects;
- the Software will satisfy requirements that were not communicated or documented;
- the Software will remain compatible with every future Business Central version;
- third-party services will remain available; or
- every Customer environment will be compatible with the Software.
Nothing in these Terms excludes mandatory statutory warranties or conformity rights applicable to Consumers.
25. Limitation of Liability
To the maximum extent permitted by applicable law, ExtBC will not be liable for indirect, incidental, special or consequential losses, including loss of profits, revenue, business opportunities, anticipated savings or business interruption, arising from use of or inability to use the Software.
ExtBC will not be responsible for losses caused by:
- Customer misuse of the Software;
- unauthorized modifications;
- unsupported environments;
- third-party extensions;
- Customer-specific customizations;
- Microsoft Business Central changes;
- third-party services;
- incorrect configuration;
- failure to maintain backups; or
- events outside ExtBC's reasonable control.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, intentional misconduct or mandatory consumer protections.
To the maximum extent permitted by applicable law, ExtBC's aggregate contractual liability arising from a particular Software purchase will not exceed the amount actually paid by the Customer for the affected Software during the twelve months preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited.
26. Force Majeure
ExtBC will not be responsible for failure or delay caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, war, terrorism, governmental actions, widespread Internet or telecommunications failures, cyberattacks, infrastructure failures, pandemics, labor disputes, failures of third-party providers and major failures or changes affecting Microsoft services.
27. Changes to the Software
ExtBC may modify, improve or discontinue particular Software products, features or integrations.
Where a change materially affects an existing paid subscription or continuing service, ExtBC will provide notice where required by applicable law or the applicable contract.
Nothing in this section permits ExtBC to remove mandatory statutory rights.
28. Changes to These Terms
ExtBC may update these Terms from time to time.
The current version will be published on the Website with its effective date.
Changes will generally apply to purchases and services made after the effective date.
Unless otherwise required by law, changes to these Terms will not retroactively modify contractual rights already acquired under a completed purchase.
Where a change materially affects an existing subscription or continuing contractual relationship, ExtBC will provide appropriate notice where required.
29. Governing Law
These Terms are governed by the laws of the Slovak Republic, except to the extent that mandatory provisions of applicable law provide otherwise.
Nothing in this section deprives a Consumer of mandatory protections available under the law that applies to the Consumer's contract.
For Business Customers, disputes shall be subject to the competent courts of the Slovak Republic unless the parties agree otherwise in writing.
For Consumers, applicable mandatory jurisdiction and consumer-protection rules shall apply.
30. Dispute Resolution
If you have a complaint or dispute, please contact ExtBC first so that we have an opportunity to resolve the matter.
Complaints should be submitted using the contact details below and should include sufficient information to identify the relevant order, License or issue.
Nothing in this section prevents a Consumer from exercising any mandatory statutory rights or remedies.
31. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
32. No Waiver
Failure by ExtBC to enforce a provision of these Terms does not constitute a waiver of the right to enforce that provision later.
33. Entire Agreement
These Terms, together with the applicable product description, License terms, order information, Privacy Policy and any expressly incorporated additional terms, constitute the agreement between ExtBC and the Customer concerning the applicable Software.
If a product-specific agreement expressly conflicts with these Terms, the product-specific agreement will prevail for that Software to the extent of the conflict.
